These Terms of Service ("Agreement") are a legal agreement between you ("Licensee" or "you") and RS Studio Paweł Bis ("RS Studio", "we", "our", or "us") governing the use of Lagom products, including but not limited to the Lagom WHMCS Client Theme, Lagom WHMCS Website Builder, Lagom WHMCS Leased Bundle, and Lagom WHMCS Module Integrations ("Software"). By ordering, downloading, installing, or using the Software (or authorizing another person to do so), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not order, download, install, or use the Software.

RS Studio is a trademark of RS Studio Paweł Bis.

Lagom WHMCS Module Integrations are styling integrations that adapt selected third-party WHMCS modules to the Lagom design. The names and trademarks of those third-party modules and their vendors are the property of their respective owners and are used for identification purposes only.

1. License Types

RS Studio offers the following license options:

  • Single Domain License: Allows installation and use on a single WHMCS installation.
  • Five Domains License: Allows installation and use on up to five WHMCS installations owned by the Licensee. Redistribution and resale are strictly prohibited.
  • Development License: Allows installation on development servers for testing purposes only. The development server must not be publicly accessible or viewable by third parties. This license cannot be used in production or live environments.
  • Leased License (Subscription-Based): The Lagom WHMCS Leased Bundle is provided exclusively as a leased, subscription-based license. It does not grant ownership of any included products and is valid only during an active, fully paid subscription (monthly or annual). It is available only as a single-installation license, for use on one WHMCS installation, and is not offered as a Five Domains license. To use the Leased Bundle on more than one WHMCS installation, a separate Leased License must be purchased for each installation, unless otherwise agreed in writing. Access to all bundled products is revoked upon cancellation, expiration, suspension, or non-payment.

2. License Grant

RS Studio grants you a non-exclusive, non-transferable license to use the Software under the terms of this Agreement and according to the license type purchased:

  • Single Domain License: Limited to one WHMCS installation.
  • Five Domains License: Limited to up to five WHMCS installations owned and controlled by you.
  • Development License: Restricted to private development servers only.
  • Leased License: Use is permitted only during the active subscription period. Continued use after the subscription ends is prohibited.

3. Usage Restrictions

By using the Software, you agree to the following restrictions:

  • No Redistribution or Resale: You may not redistribute, resell, sublicense, rent, lease, or otherwise transfer any part of the Software to third parties.
  • No Modifications or Reverse Engineering: Modifying, reverse-engineering, decompiling, or adapting the Software is strictly prohibited.
  • License Validation: Tampering with or removing license validation mechanisms is not allowed and may result in termination of the license.
  • Version Eligibility: You may only use versions of the Software that were released during your active license period. Access to updates requires an active license.
  • Development Restrictions: Development installations must remain private and cannot be accessed by the public or third parties.
  • Assets Usage: All graphics, icons, and other digital assets included with the Software may only be used within the licensed environment.

4. Ownership and Intellectual Property

The Software is the intellectual property of RS Studio. All rights, title, and interest in and to the Software remain with RS Studio. This Agreement grants you a license to use the Software but does not transfer ownership.

  • Backup Copy: You may create one backup copy of the Software solely for archival purposes.
  • Copyright Protection: All proprietary notices included in the Software must remain intact and unmodified.

5. Updates and Support

  • Updates: Updates and new releases are available only with active product renewal and support.
  • Support: Technical support is provided during the license's active period. After expiration, access to support requires renewal.
  • Leased Bundle: For the Leased Bundle, access to the Software, updates, and technical support is limited to the duration of the active subscription and is revoked upon cancellation, expiration, or non-payment.

6. Termination

This Agreement may be terminated immediately if you fail to comply with any term. Upon termination:

  • You must cease using the Software and delete all copies from your system.
  • RS Studio reserves the right to take legal action for unauthorized use or distribution.

For the Leased Bundle (subscription-based) license, if payment is not received by the Due Date, the following steps will apply sequentially:

  • The Software will be immediately deactivated on your WHMCS installation, without additional notice;
  • A 7-day grace period will apply, during which the overdue invoice may still be paid;
  • If payment is not received within the grace period, the license will be automatically terminated.

7. Disclaimer of Warranties

The Software is provided "as is," without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. RS Studio is not responsible for any damages arising from the use or inability to use the Software.

8. Limitation of Liability

To the maximum extent permitted by applicable law, RS Studio and its affiliates will not be liable for any indirect, special, incidental, or consequential damages, including but not limited to loss of business, profits, or data, even if advised of such damages.

9. Fees and Payments

By purchasing our products with an annual license, you acquire yearly access to our technical support and product updates. Each subsequent year requires renewal to maintain access. The Leased Bundle is billed on a recurring monthly or annual basis, depending on the plan selected. RS Studio reserves the right to change product and service pricing. Non-payment for the Leased Bundle is handled as described in Section 6. Failure to pay for custom software development or other services may result in those services being paused and any related deliverables withheld until the outstanding amount is settled, but it does not suspend or terminate your product licenses.

10. Delivery Policy

Upon purchase, you will either be prompted to begin your download immediately or receive an email with download instructions. Completion of the download constitutes delivery of the Software. If you encounter any issues, you must contact us within 5 days of your purchase.

11. Refund Policy

By ordering, downloading, or using the Software, you acknowledge and accept our Refund Policy.

12. Legal Consequences of Unauthorized Distribution

Unauthorized resale, redistribution, or transfer of the Software is a violation of this Agreement and may result in legal action. RS Studio reserves the right to seek damages and injunctive relief to protect its intellectual property.

13. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the jurisdiction in which RS Studio is located, without regard to conflict of laws principles.

14. Entire Agreement and Order of Precedence

These Terms of Service, together with the Software License Agreement and the End-User License Agreement (EULA) issued by RS Studio, constitute the entire agreement between you and RS Studio regarding the Software. In the event of any conflict among these documents, the following order of precedence applies: first the Software License Agreement, then the End-User License Agreement (EULA), and then these Terms of Service.
